What to keep in mind.
A few simple requirements under the Companies Act, 2013. We guide you through each one.
A private limited company needs at least two directors and up to fifteen. At least one director must be an Indian resident.
Your company name must be unique and must not clash with an existing company or a registered trademark.
You need a registered office address. A rented or residential address works with a simple no-objection letter from the owner.
There is no mandatory minimum paid-up capital. You decide the authorised capital that suits your plans.

How many directors and members do I need for a Private Limited Company?
A Private Limited Company needs a minimum of two directors and two shareholders, and can have up to 200 shareholders. The same person can be both a director and a shareholder.
Is there a minimum capital requirement to register a company?
No. India removed the minimum paid-up capital requirement for Private Limited Companies and OPCs, so you can start with any amount you choose. You only pay the applicable government and stamp duty fees based on your authorised capital.
How long does company registration take?
Registration usually takes about 7 to 15 working days once all documents are ready and correct. The exact time depends on name approval, MCA processing, and how quickly documents are provided.
What are DIN and DSC, and do I need them?
A Director Identification Number (DIN) is a unique number every director must hold, and a Digital Signature Certificate (DSC) is used to sign the incorporation forms electronically. Both are mandatory, and we arrange the Class 3 DSC and DIN as part of the process.
How does company name approval work?
You propose names through the SPICe+ Part A form, and the MCA checks them against existing companies and trademarks before approving. We help you pick names that follow the naming rules so approval goes smoothly.
Can a foreign national or NRI be a director?
Yes, foreign nationals and NRIs can be directors and shareholders in an Indian company. The rule is that at least one director must be a resident of India, meaning they stayed in India for at least 182 days in the previous financial year.
Can I register my company at my home address?
Yes, a residential address can be used as the registered office. You will need a recent utility bill and a no-objection certificate from the property owner as address proof.
What is Startup India (DPIIT) recognition and should I get it?
DPIIT recognition under Startup India gives eligible startups benefits like a possible three-year income tax exemption, self-certification on some labour and environment laws, and easier access to tenders and funding. We help eligible companies apply after incorporation.
Do I need GST registration right after incorporating?
Not always. GST registration is required once your turnover crosses the threshold (broadly ₹40 lakh for goods and ₹20 lakh for services, lower in special category states), or immediately if you make inter-state supplies or sell through e-commerce platforms. We assess your case and register you when it applies.
What ongoing compliance does a registered company have?
Every year a company appoints or continues an auditor, files annual returns with the ROC (AOC-4 and MGT-7 or 7A), files its income tax return, completes director KYC, and holds board meetings with proper records. We track these deadlines and handle the filings so nothing is missed.
